Welcome to the MREIF Platform! These Terms of Use (“Terms and Conditions") govern your use of and the process of, owning or purchasing a home through the Platform (MREIF digital platform which enables properties to be displayed for the interest of prospective home buyers). These Terms and Conditions also govern your use of the Platform to access Eligible Financial Institutions which wish to offer mortgage loans to prospective home buyers. BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS AND AGREE TO BE LEGALLY BOUND BY THEM AND ANY FUTURE UPDATES OR MODIFICATIONS, as well as any applicable laws and regulations. If you do not agree to be bound by these terms, do not use the Platform/Services provided by us. Do not continue to use the Platform if you do not accept all of the Terms and Conditions stated on this page. Qshelter reserves the right to modify these Terms and Conditions at any time and changes will be posted. It is your responsibility to review the Terms and Conditions regularly.
These Terms & Conditions (the "Conditions") is a legally binding contract between you, the individual end user (collectively, “You” or “Your”) and ARMIM (in its capacity as the Fund Manager of MREIF and its affiliates and applies to Your use of all services provided by or on behalf of MREIF in connection to the Platform.
By (i) clicking “I Accept” or a similar affirmation as it appears below, or (ii) accessing the application (the “Platform”); You acknowledge and agree that You shall be bound by the Terms and Conditions. If at any time You do not agree to the Terms and Conditions, You must immediately terminate all use of the Platform.
THE PLATFORM is owned by Ministry of Finance Incorporated Real Estate Investment Fund (MREIF). The Ministry of Finance Incorporated (MOFI) is the investment arm of the Federal Ministry of Finance. MOFI has sponsored the establishment of a closed-end real estate investment fund known as the Ministry of Finance Incorporated Real Estate Investment Fund (MREIF or the Fund). The Sponsor has appointed ARMIM as the Fund Manager to the Fund. The Platform is referred to as the MREIF Platform and is provided by Qshelter Limited.
All references within these Terms and Conditions to 'we/us/our/the Platform' refer to the MREIF PLATFORM.
All references to “User” shall mean any individual, entity, or organization that accesses, browses, or uses the Platform, services, or content provided, whether registered or unregistered.

The Services are made available for both personal and commercial use. The properties listed on the MREIF Platform, afford You the opportunity to view and choose the property of Your choice.
When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service without notice. You are required to provide accurate, current and complete information during your registration, and you are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel listings in our sole discretion.
Anything that you submit to the Platform and/or provide to us, including but not limited to, questions, reviews, pictures, comments, and suggestions (collectively, "Submissions") will become our sole and exclusive property and shall not be returned to you. In addition to the rights applicable to any Submission, when you post comments or reviews to the Platform, you also grant us the right to use the name that you submit, in connection with such review, comment, or other content. You shall not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third parties as to the origin of any Submissions. We may, but shall not be obligated to, remove or edit any Submissions. By using the Platform, you agree to receive; emails associated with same, which may contain relevant offers from third parties, document/verification requirements and emails asking you to review your experience promotional emails, SMS and push notifications. You may unsubscribe from promotional emails via a link provided in each email. If you would like us to remove your personal information from our database, unsubscribe from emails and/or SMS, please email Customer Service email address.

By using the Platform, you consent to the use of cookies in accordance with our policy. Cookies are used on our website or platform to enable the functionality of the pages and seamless use for the Users visiting or using the Site. Some of our affiliate/advertising partners may also use cookies. Whilst you may disable your cookies based on your individual internet browser settings, be aware that it may limit your abilities to use our site, our abilities to provide best user experience on the Platform may use including but not limited to AdWords, Google Analytics, and Segment Analytics in tracking any cookies on our Site.
All charges and payments for services on the Platform are non-refundable. You understand that use of the Platform may result in charges to you for the services you are provided with. We will receive and/or enable your payment of the applicable charges for services obtained through your use of the Platform. Charges will be inclusive of applicable taxes where required by law.
All charges and payments will be enabled by the Platform. Payments for properties shall be made into the wallets created after which you will receive a receipt by email. The Banks that will be in collaboration with MREIF be responsible for disbursement of funds between parties. If your primary account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that a secondary payment method shall be used in your Account, if available. We reserve the right to establish, remove and/or revise charges for any or all services obtained through the use of the Platform at any time with prior notice to you.
Due diligence is carried out on title of properties provided by Developers prior to listing on the Platform. Qshelter and the Banks may conduct the due diligence, with the Bank's services subject to a fee. The authenticity/accuracy of all details of listings on the Platform are verified before being hosted on the Platform, however such listings are hosted by us in good faith as they are produced directly by third parties, we do not undertake any responsibility for the authenticity/accuracy thereof. Home buyers are also responsible for making their own enquiries and we provide no guarantee and accept no responsibility for the accuracy or completeness of any information contained within the Details/Listings.
You are responsible for checking, confirming and satisfying yourself as to the accuracy of any Details/Listings provided on the Platform.
Developers shall arrange inspection for Home buyers, issue property offer letters and pay a 5% platform fee to the Platform provider upon successful closure of sale. Payments made to developers for houses by home buyers effected through wallet shall be deducted from the property price and balance transferred to the developers' account. Developers are required to act in good faith with honesty and transparency.
Homebuyers are required to pay a Platform Success Fee of 1% and the Platform success fee shall be paid to the Platform provider, Qshelter.
You are responsible for ensuring that you act in good faith towards any other parties.
You shall not commit to the Platform, review or otherwise transact on any property/listing on the Platform directly without nominated personnel, overseeing the transaction.
You accept that all users of the Platform who are not located and resident in Nigeria shall be regarded as diaspora users.
As a diaspora user, you accept that by agreeing to these Terms of Use, you shall be bound by the laws of the Federal Republic of Nigeria.
You also accept to conform to the payment arrangement as provided in this Terms of Use, Qshelter may at any time require you to conduct your payments through alternative financial payments method that conform to these Terms of Use.
You will not in any manner solicit, nor accept any business in any manner from entities or persons ("Contacts") whose details were made available through your use of the Platform or from the affiliates of those Contacts, without the express permission of those Contacts.
You agree to hold all data, Personal Data, business information, and or any information which you find on the Platform ("Confidential Information") in strict confidence, not to disclose, distribute or disseminate the Confidential Information or information derived therefrom in any way to any third party and not to use the Confidential Information for Your own benefit or the benefit of others, or for any purpose except in connection with the prescribed use of the Platform.
You agree to ensure the protection of all Confidential Information from unauthorized disclosure and in any event, to take precautions at least as great as those taken to protect Your own information of a similar nature, but in no event less than the equivalent of a reasonable degree of care.
You acknowledge that breach of this section may result in irreparable harm to MREIF and ARMIM (in its capacity as the Fund Manager of MREIF), for which money damages may be an insufficient remedy, and therefore ARMIM will be entitled to seek injunctive relief to enforce the provisions of this section without requirement of posting a bond or providing special evidence.
Your obligations under this “Confidentiality" section will not apply to Confidential Information to the extent that You can establish that such Confidential Information:
You may be provided access to Mortgage services by Banks or legal services by law firms on the Platform. These services are provided by independent third parties who are in no way related entities or affiliates of ARMIM or MREIF.
We do not guarantee the services or products offered by these third parties nor are we responsible for their conduct or to take responsibility nor share in liability with these third parties, You therefore undertake not to hold us liable to any degree for any actions between yourself and the Mortgage service provider.
Our aim is to ensure accessibility to the Platform at all times however, you accept that service interruption may occur in order to allow for platform improvements or scheduled maintenance and may also be due to external factors beyond our control.
If You are unable to use the MREIF Platform as a result of improper operation of the systems due to any of the following reasons, you agree that you will not hold MREIF, ARMIM (in its capacity as Fund Manager to MREIF), MOFI or Qshelter and our affiliates liable for:
Any personal information collected in relation to the use of this Platform will be held and used in accordance with the Nigeria Data Protection Act 2023. ARMIM (acting on behalf of MREIF) may use such data for commercial purposes. However, we undertake that all systems used to process such personal data will meet the minimum standards required by the Act and align with industry best practices for data protection.
THE MREIF PLATFORM AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING.
YOU EXPRESSLY ACKNOWLEDGE THAT COMPUTER NETWORK-BASED SERVICES MAY BE SUBJECT TO OUTAGES, INTERRUPTIONS, ATTACKS BY THIRD PARTIES AND DELAY OCCURRENCES, THE PLATFORM PROVIDER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PLATFORM, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
THE VALUE ESTIMATES PROVIDED ON THE PLATFORM ARE INTENDED FOR GENERAL INTEREST AND INFORMATION PURPOSES ONLY. THESE ESTIMATES ARE BASED ON (A) PUBLICLY AVAILABLE INFORMATION ON PROPERTIES IN CERTAIN LOCATIONS. THEY WILL NOT TAKE ACCOUNT OF ANY FACTORS WHICH ARE UNKNOWN TO US AND SHOULD THEREFORE ONLY BE USED AS A STARTING GUIDE TO HELP DETERMINE WHAT A HOME MIGHT BE WORTH. NONE OF THE SERVICES ARE INTENDED TO BE A SUBSTITUTE FOR INDEPENDENT PROFESSIONAL ADVICE AND USERS ARE RECOMMENDED TO SEEK ADVICE FROM SUITABLY QUALIFIED PROFESSIONALS SUCH AS SURVEYORS AND SOLICITORS. WE SHALL NOT BE LIABLE FOR ANY LOSSES SUFFERED AS A RESULT OF RELYING ON OUR VALUE ESTIMATES.
THE PROPERTY DESCRIPTIONS AND OTHER INFORMATION PROVIDED ON THE PLATFORM ARE INTENDED FOR INFORMATION AND MARKETING PURPOSES AND, WHILST DISPLAYED IN GOOD FAITH, WE WILL NOT IN ANY CIRCUMSTANCES ACCEPT RESPONSIBILITY FOR THEIR ACCURACY. IT IS THE RESPONSIBILITY OF BUYERS TO SATISFY THEMSELVES AS TO THE ACCURACY OF ANY PROPERTY DESCRIPTIONS AND VALIDITY OF THE TITLE
TO THE FULL EXTENT PERMISSIBLE BY LAW, ARMIM AND THE PLATFORM PROVIDER, QSHELTER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND DOES NOT WARRANT THAT THE PLATFORM, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM, SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM THE PLATFORM ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULL EXTENT PERMISSIBLE BY LAW, MREIF, ARMIM AND OR THE SERVICE PROVIDER - QSHELTER WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE PLATFORM, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING. ARMIM AND THE PLATFORM PROVIDER, QSHELTER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES,
ARMIM AND QSHELTER SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF:
IN NO EVENT SHALL WE, NOR ANY OF OUR OFFICERS, SHAREHOLDERS, DIRECTORS, EMPLOYEES, AGENTS OR SUPPLIERS BE LIABLE FOR ANY LOSS OR DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR ANY OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES. SHOULD YOU NOT AGREE WITH ANY PART OF THESE TERMS OF USE OR HAVE ANY DISPUTE OR CLAIM AGAINST US OR OUR SUPPLIERS WITH RESPECT TO THESE TERMS OF USE OR THE SERVICES, YOU ARE ADVISED TO DISCONTINUE USING THE SERVICES.
THE LIMITATIONS AND DISCLAIMER IN THIS SECTION DO NOT PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
You agree to indemnify, defend and hold ARMIM, QSHELTER, their officers, directors, employees harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in connection with: (i) your use of the Platform/ Services; (ii) your breach or violation of any of these Terms; (iii) use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers.
In the event of any actual or suspected security breach we either suffer or learn of that either compromises or could compromise the Platform's data or Confidential Information, including without limitation customer or consumer data, physical trespass on a property or hacking (collectively, a “Security Breach”), Qshelter and/or ARMIM will immediately notify you of such Security Breach, and will immediately coordinate with our designees alongside appropriate authorities required by applicable law to investigate, prosecute and remedy the Security Breach.
Subject to all applicable laws, ARMIM may provide to a third party any information (including personal data and any Data belonging to ARMIM) about Listings/Accounts provided hereunder if:
Qshelter has no obligation to provide support, maintenance, updates, upgrades, modifications or new releases to the MREIF Platform or of any Materials (“Updates"). Where Qshelter does elect, in its sole discretion, to provide any Updates, this Terms and Conditions will govern such Updates.
You agree that all intellectual property rights and database rights, whether registered or unregistered, in the Platform, information content on the Platform and all the platform design, including, but not limited to, text, graphics, software, photos, video, music, sound, and their selection and arrangement, and all software compilations, underlying source code and software shall remain at all times vested in ARMIM. Use of such material will only be permitted as expressly authorized by us.
Any unauthorized use of the material and content of this platform is strictly prohibited and you agree not to, or facilitate any third party to, copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material and content. Any infringement of intellectual property will be duly prosecuted.
We reserve the right in our sole discretion to change these Terms and Conditions at any time without prior notice to you. Any changes will be posted on our platform and become effective at the time of posting. Your continued use of the Services after the effective date of such changes will constitute acceptance of and agreement to any such changes. We reserve the right to modify, suspend or discontinue all or part of the Services at any time to you and/or others, with or without notice. We shall not be liable to you or any other party should we exercise our right to modify, suspend or discontinue all or part of the Services.
It is our policy to prohibit and actively pursue the prevention of money laundering and any activity that facilitates money laundering or the financing of terrorist or criminal activities. ARMIM and Qshelter are committed to anti money laundering compliance in accordance with applicable law and we require our directors, officers and employees to adhere to these standards in preventing the use of its products and services for money laundering purposes.
These Terms and Conditions (Ts & Cs) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and any dispute arising there from shall be determined in accordance with such laws.
Any dispute that may arise between the Parties to these Ts & Cs and in connection with these Ts & Cs or the compliance by any Party with any provision hereof, including, but not limited to, any alleged breach hereof, shall be settled by an agreement between the Parties in dispute. If the Parties herein fail to reach an agreement within thirty (30) days of the date on which the first correspondence was exchanged between them declaring the existence of the dispute and initiating negotiations to settle it by contract, such dispute shall be finally submitted to arbitration under the Rules of the Arbitration and Mediation Act (2023), for settlement by one or more arbitrators appointed in accordance with the Act.
Each party shall appoint an arbitration and both arbitrators shall jointly appoint a third Arbitrator that will sit as an umpire. The arbitration shall take place in Lagos, Nigeria with the English Language being the language of the arbitration proceedings.
The arbitration proceeding shall not last longer than 21 working days unless otherwise agreed by the Parties to this Contract.
The decision and award resulting from such arbitration shall be final and binding on the Parties to the dispute. Any court of competent jurisdiction may render judgment upon arbitral award, or application may be made to such court for the judicial acceptance of the award and an order of enforcement. In the event that an action for judgment or enforcement is brought before a court of competent jurisdiction on the arbitral award or on the judgment rendered thereon, the Parties herein waive all rights to object thereto insofar as such waiver is permitted under the applicable laws
However, by agreeing to the Ts & Cs, you agree that you are required to resolve any claim that you may have against MREIF, ARMIM (in its capacity as Fund Manager to MREIF) MOFI or Qshelter, on an individual basis in arbitration, as set forth in this Arbitration Agreement. This will preclude you from bringing any class, collective, or representative action against MREIF, ARMIM (in its capacity as Fund Manager to MREIF) MOFI or Qshelter and also preclude you from participating in or recovering relief under any current or future class, collective, consolidated, or representative action brought against MREIF, ARMIM (in its capacity as Fund Manager to MREIF) MOFI or Qshelter by someone else.
Notwithstanding retain the right to bring an individual action in court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights.
ARMIM may give notice by means of a general notice on the Services, electronic mail to your email address in your Account, telephone or text message to any phone number provided in connection with your account, or by written communication sent by first class mail or pre-paid post to any address connected with your Account. Such notice shall be deemed to have been given upon the expiration of 48 hours after mailing or posting (if sent by first class mail or pre-paid post) or 12 hours after sending (if sent by email or telephone). You may give notice to ARMIM with such notice deemed given when received by ARMIM at any time by first class mail or pre-paid post to our registered Address for service of process, c/o ARMIM.
This Term of Use shall commence on the date of Registration by the User (electronically by clicking accept or otherwise) and shall continue until terminated as set forth herein.
This Terms of Use may be terminated: (a) without cause at any time upon thirty (30) days prior notice to the other party; (b) immediately, without notice, for the other party's material breach of this Terms of Use; or (c) immediately, without notice, in the event of the insolvency or bankruptcy of the other party, or upon the other party's filing or submission of request for suspension of payment (or similar action or event) against the terminating party. In addition, ARMIM may terminate this Terms of Use or delist a property listing immediately, without notice, where you or such listing no longer qualify, under applicable law or the standards and policies of MREIF.
ARMIM may assign these Terms without your consent to: (i) a subsidiary or affiliate; (ii) an acquirer of ARMIM's equity, business or assets; or (iii) a successor by merger. Any purported assignment in violation of this section shall be void. No joint venture, partnership, employment, or agency relationship exists between you, ARMIM or any Third-Party Provider as a result of this Terms of Use or use of the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. ARMIM's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by ARMIM in writing.
